Terms of Service

You must be at least 18 years old and able to enter into a binding contract. The Service is meant for people and businesses who sell products; if you use it for a business, you confirm you are authorized to accept these Terms on its behalf.

You sign in with email, phone or Google through our authentication provider. Keep your access secure, give us accurate information, and tell us right away at legal@iademy.com if you think someone used your account without permission. You are responsible for activity on your account.

One free welcome grant of credits is available per person. Creating several accounts to obtain more free credits, or to get around usage limits, is not allowed.

iademy turns photos of your products into ready-to-sell advertising. Depending on your plan and credits, the Service lets you:

• upload product photos (garments and accessories) and have them analyzed to suggest a product name and settings;
• create photorealistic images of an AI-generated model wearing or holding your product, on a background you choose;
• turn those images into short videos, with optional music, brand cards, a before-and-after reveal, your logo and a QR code;
• keep a Brand Kit (business name, logos, WhatsApp numbers, website, colors, images) and a public handle for your share links;
• download your creatives, share them through a public link or on WhatsApp and X, and, on eligible plans, publish to connected social networks and run Meta ads through our publishing partner;
• see results in Intelligence: views and taps on your share links, statistics from connected networks, and the sales you mark.

The models on iademy are synthetic people generated with artificial intelligence. They are not real individuals and do not endorse you or your products.

The Service runs on credits. The number of credits each action costs (for example, an image, or a video of a given length and quality) is shown before you confirm it.

• Credits are deducted when a paid step starts. If a generation fails, its credits are returned to your balance automatically.
• Credits from pay-as-you-go packs do not expire.
• Credits included in a monthly plan are granted each billing period, expire at the end of that period and do not roll over. When you have both, plan credits are used first.
• Welcome credits are granted once per person, have no cash value, and may be withdrawn if they were obtained in breach of these Terms.
• Credits are not money: they cannot be exchanged for cash, transferred to another account, or resold. They have no value outside the Service.
• To keep the Service available to everyone, we apply daily limits (for example, on uploads, photo analyses and generations) that may differ between free and paid accounts.

We offer monthly plans (currently Emprende, Crece and Pro) and one-time credit packs, at the prices shown on our pricing and billing pages. Payments are processed by Stripe. Prices are in US dollars unless stated otherwise, and you are responsible for any applicable taxes.

• Plans are billed in advance and renew automatically every month at the then-current price until you cancel.
• You can cancel at any time from Billing → Manage subscription. Cancellation takes effect at the end of the current billing period; you keep your plan and its credits until then, and you won't be charged again.
• If a payment fails we may retry it, and we may suspend plan features until it succeeds.
• We will notify you before a price change applies to your plan. If you don't agree, you can cancel before it takes effect.
• Each plan includes a set number of social network connections. If your plan ends or you move to a plan with fewer connections, the connections above the new limit are disconnected. Connections that go 30 days without a post are also disconnected (we warn you first).

From time to time we may assign a plan or credits to an account at our discretion (for example, for support or promotions). These carry no billing and may be withdrawn.

Except where applicable law requires otherwise, payments for plans and credit packs are non-refundable, including for unused credits or the unused part of a billing period. Failed generations are handled by returning the credits, as described above.

If a payment is refunded or disputed (chargeback), we reverse the credits that payment granted, in proportion to the amount refunded. We may suspend accounts involved in abusive chargebacks.

Nothing in these Terms limits any right to a refund or withdrawal that you have under the consumer protection law of your country and that cannot be waived.

"Your Content" means what you upload or enter: product photos, product names and prices, captions, logos and other Brand Kit materials. You keep all ownership rights in Your Content.

You give us a worldwide, non-exclusive, royalty-free license to host, copy, process, adapt and transmit Your Content only as needed to operate and improve the Service for you, including sending it to the service providers that generate images and videos, analyze photos, store files, and publish on your behalf. This license ends when Your Content is deleted from the Service, except for copies you have already published or shared, and backups kept for a limited time.

You confirm that you own Your Content or have every right needed to use it this way, and that it doesn't infringe anyone's rights. In particular, only upload photos of products you are entitled to sell and promote, and logos and trademarks you own or are allowed to use.

If a product photo shows a person, we use it only to extract the product; the person is never reproduced in your creative. Don't upload photos of identifiable people for any other purpose.

We do not use Your Content or your creatives to train artificial intelligence models.

The images and videos the Service generates for you ("Creatives") are yours to use, including commercially, to promote and sell your products, subject to these Terms and to the rights of third parties in Your Content. As between you and us, we assign to you any rights we may have in your Creatives.

Generative AI has limits. A Creative may not match your product exactly (for example, its color, pattern, texture, fit or details), and may contain visual errors. You must review every Creative before you publish it, and you are responsible for making sure your advertising accurately represents what you sell.

Because the models are AI-generated, don't present them as real customers, reviewers or endorsers, and don't use Creatives to deceive anyone. Similar-looking results may be generated for other users; we don't guarantee that a Creative is unique.

Some platforms and laws require you to disclose AI-generated or altered content. You are responsible for any such disclosure where you publish.

You agree not to use the Service to:

• promote counterfeit goods, or products that are illegal, recalled or restricted where you sell them (such as weapons, drugs, tobacco or vaping products, or adult products);
• create sexual or sexually suggestive content, content involving minors, or hateful, violent, harassing or discriminatory content;
• make false or misleading claims about a product, its price, availability or origin;
• impersonate a person, brand or business, or use a handle, name or logo you have no right to;
• infringe copyrights, trademarks, publicity or privacy rights, or other rights of third parties;
• send spam or unsolicited messages, including through WhatsApp links, or break the rules of the platforms where you publish (such as Meta's advertising and commerce policies);
• get around credit, usage or plan limits, open multiple accounts to obtain free credits, or resell access to the Service;
• scrape, copy or reverse engineer the Service, access it with bots or automated means we haven't authorized, or interfere with its security or operation;
• upload malware or anything that could harm the Service or other users.

We may remove content, cancel generations, withhold publishing, or suspend or close accounts that break these rules.

When you connect a social network (such as Instagram, Facebook, Meta Ads, TikTok, YouTube or Threads), you authorize us and our publishing partner to publish content and create ads on your behalf, only when you ask us to. You can disconnect at any time. Access tokens are held by our publishing partner, not stored in our database.

Ads you create through the Service are billed by the ad platform (for example, Meta) directly to your ad account; iademy does not charge you for ad spend. Platforms decide whether to approve, show or remove your posts and ads, and set their own rules, which you must follow.

We don't guarantee any reach, engagement, messages or sales. Statistics shown in Intelligence come from the platforms and from our share links, and may be delayed, estimated or incomplete.

iademy is not affiliated with, endorsed by or sponsored by Meta, Instagram, Facebook, WhatsApp, TikTok, YouTube, Google, X, Threads, LinkedIn or Stripe. Their names and trademarks belong to their owners. Your use of any third-party service is governed by that service's own terms.

A share link publishes a creative on a public page (for example, iademy.com/your-handle/date/product) that anyone with the link can view, including your product name, price, logo and your WhatsApp or store link. You can stop sharing at any time; the page then stops working. Copies others have already saved or forwarded are outside our control.

Your handle is created from your business name and you can change it in the Brand Kit. Links shared under a previous handle keep working. We may change or reclaim a handle that is misleading, impersonates someone, or infringes rights.

To show you how your links perform, share pages collect anonymous visit statistics, as described in our Privacy Policy.

The Service, including its software, design, texts, AI model roster, backgrounds, music library, templates and trademarks, belongs to iademy or its licensors and is protected by intellectual property laws. Apart from your Content and your Creatives, you receive no ownership rights.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business. You may not copy, modify, distribute, sell or create derivative works of the Service, or extract the model roster, backgrounds or music for use outside it.

If you send us feedback or suggestions, we may use them freely without any obligation to you.

We work to keep the Service available, but it may be interrupted for maintenance, updates or reasons beyond our control. The Service relies on third-party providers (including AI, storage, payments and publishing), and we may change the providers, models, features, styles, backgrounds or limits we offer. We'll try to give reasonable notice of changes that materially reduce what your paid plan includes.

You can stop using the Service at any time, cancel your plan from Billing, and ask us to delete your account by writing to privacy@iademy.com.

We may suspend or close your account, with or without notice, if you breach these Terms, if required by law, to prevent fraud or abuse, or if your account creates a risk for the Service or other users. If we close your account for a breach, unused credits are forfeited and no refund is due.

Sections that by their nature should survive termination (including those on content licenses already granted, disclaimers, limitation of liability, indemnification and governing law) will survive.

THE SERVICE AND ALL CREATIVES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT CREATIVES WILL MATCH YOUR PRODUCT EXACTLY, OR THAT THEY WILL BE ACCEPTED BY ANY PLATFORM OR PRODUCE ANY RESULT.

Some jurisdictions don't allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, 99CODESHOP LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, SALES, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE, YOUR CREATIVES, OR ANY THIRD-PARTY PLATFORM.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.

Some jurisdictions don't allow these limitations, so they may not fully apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to defend, indemnify and hold harmless iademy and its affiliates, officers, employees and agents from any claims, damages, losses and expenses (including reasonable attorneys' fees) arising from Your Content, the products you advertise, the Creatives you publish, your use of third-party platforms, or your breach of these Terms or of anyone's rights.

These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-law rules.

Before starting any legal proceeding, you agree to contact us at legal@iademy.com and try in good faith to resolve the dispute for at least 30 days. If it isn't resolved, the state and federal courts located in Wake County, North Carolina, will have jurisdiction, and you and we consent to that jurisdiction.

If you use the Service as a consumer, you keep the protection of the mandatory consumer laws of the country where you live, and you may be able to bring claims in your local courts where that law allows it.

We may update these Terms from time to time. We'll post the new version with its date, and for material changes we'll give notice through the Service or by email before they take effect. If you keep using the Service after the changes take effect, you accept them; if you don't agree, stop using the Service and cancel your plan.

These Terms are available in English and Spanish. If there is any conflict between the two versions, the English version controls, to the extent permitted by applicable law.

• Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and us about the Service.
• Severability: if a provision is held invalid, it will be enforced to the maximum extent permitted and the rest remains in effect.
• No waiver: our not enforcing a provision is not a waiver of it.
• Assignment: you may not transfer these Terms without our written consent; we may transfer them in connection with a merger, acquisition or sale of assets.
• Force majeure: we are not responsible for delays or failures caused by events beyond our reasonable control, including failures of internet, cloud or AI providers.
